M&As this week: Bounty Holdings New Zealand, frostkrone Tiefkuhlkost, Alpine Subscriptions

Bounty Holdings New Zealand, a subsidiary of Bounty Fresh Food, has agreed to fully acquire Tegel Group Holdings from Singapore-based Claris Investments.

The purchase consideration for the acquisition will be NZD437.8m ($309.97m), representing an offer price of NZD1.23 ($0.87) for each Tegel share.

frostkrone Tiefkuhlkost has acquired a minority share in Societe Piz’Wich Europe from Ardian Holding, a private equity firm.

Based in Germany, frostkrone Tiefkuhlkost is a manufacturer of deep-frozen finger food and snacks, while Societe Piz’Wich Europe is a French frozen savoury snack products maker.

Ardian Holding and Societe Piz’Wich have appointed McDermott Will & Emery as legal adviser, and Arsene Taxand and Invest Corporate Finance as financial advisers for the transaction.

frostkrone has appointed GLNS Rechtsanwalte Steuerberater Partnerschaft and Aramis Societe d’Avocats as legal advisers and PricewaterhouseCoopers as the financial adviser for the transaction.

Chocolate, sweets and candy delivery services provider Alpine Subscriptions has acquired InstaCandy and its Canadian operations.

The target company is involved in candy and confectionery subscription service.

Both companies are based in the US.

Food catering services provider Blue Pepper Catering has acquired New Yorkshire Food.

The target company offers food delivery services to offices.

The firms are based in the UK.

UK-based restaurants owner, operator and franchiser YO! Sushi Group, a subsidiary of Mayfair Equity Partners, has acquired Taiko Foods.

The target company will continue to be led by its managing director Derek Lewis and will continue to supply products under the Taiko brand, upon completion of the acquisition.

Also based in the UK, the target company manufactures and supplies sushi, bentos and snacking products with 220 employees in West London.

The Middleby Corp has acquired Josper, a Spanish charcoal grill and oven cooking equipment manufacturer.

Based in the US, The Middleby Corp is a line of cooking equipment and related products designer, manufacturer, marketer and distributor.

Josper’s products are targeted at commercial foodservice and residential applications. The company has annual revenues of roughly $20m.
