M&As this week: Orkla, Archer Daniels Midland, BRF

Orkla has concluded the acquisition of rice brand Pama for an undisclosed sum.

Based in Norway, Orkla is a supplier of branded consumer goods, while Pama is a local brand that offers porridge rice in Denmark and Sweden.

Pama is a part of PepsiCo and its products are distributed through Orkla Foods Danmark.

The transaction includes the transfer of Pama’s trademarks, but not production facilities or employees.

Archer Daniels Midland (ADM) has agreed to acquire Florida Chemical Company (FCC) for an undisclosed amount.

ADM is a global food processing firm, while FCC has been a provider of premium citrus ingredients since 1942.

The transaction also involves the transfer of 75 employees from FCC to ADM.

FCC manufactures high-value citrus flavour ingredients, speciality terpenes and formulated products.

BRF has divested its wholly-owned subsidiary Campo Austral in Argentina for $35.5m.

Pork-based food manufacturer Campo Austral operates three plants, which are located in Florencio Varela, San Andrés de Giles and Pilar. It has a slaughtering capacity of 2,300 hogs a day.

The deal includes the sale of the Florencio Varela facility and its related assets, as well as the Bocatti and Calchaquí brands, to Argentinean society BOGS.

BRF also sold 100% of the capital stock issued by Campo Austral, which includes its facilities in San Andrés de Giles and Pilar, as well as the Campo Austral brand to La Piamontesa de Averaldo Giacosa y Compañía.

Roland Foods has acquired Albert Uster Imports (AUI) for an undisclosed amount.

Roland Foods is an importer of speciality food and is a portfolio company of Vestar Capital Partners, which is involved in management buyouts and growth capital investments.

AUI is a supplier of pastry, bakery and confectionery products to professional chefs and bakers.

Kirkland & Ellis is the legal counsel to Roland Foods, while Arnold & Porter is the legal counsel to AUI for the transaction.

SunTrust Robinson Humphrey is the financial advisor to Roland Foods and Vestar.

Both the companies involved in the transaction are based in the US.
