M&As this week: La Boulangeri, Thai Union Group, Indiana Packers

La Boulangeri has completed the acquisition of Loving Cup for an undisclosed sum.

Based in the US, La Boulangeri is a cafe and bakery chain, while Loving Cup is a local frozen yogurt ice creams producer.

Thai Union Group intends to sell or close Edinburgh Salmon Company (ESCo), a smoked salmon processing operation in the UK.

Based in Thailand, Thai Union Group processes, manufactures and distributes frozen and canned seafood and other related products.

Indiana Packers (IPC) has acquired Specialty Foods Group (SFG) from Specialty Foods Group Income Fund for an undisclosed amount.

IPC is a producer of premium fresh, processed and speciality pork products, while SFG is a manufacturer and distributor of Kentucky Legend premium boneless ham products in US grocery stores.

The fund will receive proceeds of approximately $28.3m through the sale of SFG and an additional $2.2m from escrowed funds at various intervals until 2020.

The transaction enables IPC to use synergies associated with the use of raw material, manufacturing and sales, as well as marketing capabilities.

Maple Leaf Foods has entered an agreement to acquire VIAU Foods for C$215m ($167m).

The purchase consideration also includes Maple Leaf’s stock worth C$30m ($23.3m).

Based in Canada, Maple Leaf Foods is a consumer packaged meat company, while VIAU is a producer of prepared meat products including Italian cooked meats, sausages, pizza toppings, shaved steak and meatballs.

The transaction will be funded by Maple Leaf through cash and drawings under its existing credit facility.

The acquisition enables Maple Leaf to fortify its presence in premium Italian cooked and dry cured meats.

Orkla Food Ingredients has agreed to acquire County Confectionery (County’s) for an undisclosed sum.

Based in Norway, Orkla Food is a provider of bakery ingredients, while County’s is a chocolatier and confectioner based in the UK.

The acquisition was made by NIC Enterprises, a wholly-owned subsidiary of Orkla Food Ingredients.

County’s generated revenue of £8.6m ($11.1m) for the financial year ending May 2018.
