M&As this week: RGP Korea, PepsiCo, Tate & Lyle

RGP Korea Co Ltd (Yogiyo) has purchased a 27.27% interest in Barogo for a sum of $18.61m.

RGP is an online food service operator, while Barogo is a B2B food delivery start-up.

Both companies are based in Korea.

PepsiCo Inc has signed an agreement to acquire Bare Foods Co for a purchase consideration of less than $200m.

Bare Foods will continue to operate independently and report to PepsiCo’s Frito-Lay North America division upon closing the transaction.

PepsiCo is a food and beverage company, while Bare Foods is a producer of baked fruit and vegetable chips.

Both organisations involved in the acquisition are based in the US.

The transaction is expected to enable PepsiCo to expand its healthy snack portfolio.

Tate & Lyle PLC has signed an agreement to purchase 15% capital in Sweet Green Fields LLC for an undisclosed consideration.

Tate & Lyle is a provider of food ingredients based in the UK, while Sweet Green Fields is a US-based producer of stevia sweeteners.

Hochdorf Holding AG has entered an agreement to acquire 100% interest in Bimbosan AG for an undisclosed sum.

Hochdorf Holding is a manufacturer of milk powder, bakery products, diet products and malt beverages, while Bimbosan is a producer of baby food.

Both companies involved in the transaction are based in Switzerland.

The Kroger Co has signed an agreement to merge with Relish Labs LLC (trading as Home Chef) for $700m.

The consideration will include $200m in cash and up to $500m in profit-related payments over a five-year period.

Home Chef will operate as a subsidiary of Kroger and is expected to be responsible for the company’s meal solutions portfolio following the transaction.

Kroger is a grocery retail store and supermarket operator, while Home Chef is a meal kit and food delivery company that delivers pre-portioned ingredients and recipes to consumers.

Both companies involved in the deal are based in the US.

The merger transaction will enable Kroger and Home Chef to expand their business in the meal kits market.

The Spangler Candy Co has completed the acquisition of the New England Confectionery Co for $18.83m.

Necco will continue to operate from its headquarters in Revere, Massachusetts, until November.

Both organisations involved in the transaction are US-based confectionery companies.
